TERMS OF SERVICE

Welcome to SPILS.

These Terms of Service (“Terms”) govern your access to and use of SPILS, including the SPILS mobile application, website, and related services (collectively, “SPILS”). SPILS is owned and operated by DONERIK LLC, a Nevada limited liability company (“DONERIK LLC,” “we,” “us,” or “our”).

By creating an account or using SPILS, you agree to these Terms.

1. ABOUT SPILS

SPILS is a digital platform for fragrance enthusiasts, collectors, aspiring perfumers, creators, and professionals.

SPILS currently includes five primary spaces: Journal, Collection, Lab, Organ, and Community. Features may be added, changed, improved, limited, or removed as SPILS evolves.

SPILS 1.0 is our first public release. We expect the platform and its features to continue evolving based on development, testing, and user feedback.

2. YOUR ACCOUNT

You may need to create an account to use certain SPILS features.

You are responsible for maintaining the security of your account and for activity occurring through it. You agree to provide accurate information and not impersonate another person or misrepresent your identity.

You may delete your SPILS account through the account deletion feature available within the app.

3. YOUR CONTENT

SPILS allows you to create and store content including Journal entries, fragrance Collection information, Lab formulas, Organ materials, Community posts and comments, photographs, notes, and other information (“User Content”).

You retain ownership of the User Content you create.

By submitting content to public or shared areas of SPILS, such as Community, you grant DONERIK LLC a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and process that content as necessary to operate, moderate, and provide SPILS.

Private content is not publicly shared unless you choose to share it through a supported SPILS feature.

Our handling of personal information and User Content is further described in our Privacy Policy.

4. LAB FORMULAS

Lab is provided as a workspace for developing, documenting, and managing fragrance formulas and experiments.

Your Lab formulas are private to your account and are not publicly shared unless you choose to share them through a supported SPILS feature.

You retain ownership of formulas and other original content you create in Lab.

SPILS does not claim ownership of your fragrance formulas.

You are responsible for determining whether your formulas, materials, concentrations, manufacturing processes, and finished products are safe, lawful, and appropriate for their intended use.

5. ORGAN AND MATERIAL INFORMATION

Organ allows users to catalog and reference perfumery materials and related information.

Information provided through SPILS about fragrance materials, ingredients, CAS numbers, safety information, IFRA information, or similar technical information is provided for organizational and informational purposes only.

SPILS is not a substitute for official supplier documentation, safety data sheets, current IFRA Standards, regulatory requirements, professional safety testing, or other authoritative sources.

You are responsible for verifying information before using any material or formula.

6. COMMUNITY

Community allows users to participate in discussions and share fragrance-related content.

You agree not to use Community to:

• Harass, threaten, abuse, or target another person
• Post unlawful, hateful, exploitative, or seriously harmful content
• Impersonate another person or organization
• Spam, scam, defraud, or deliberately mislead others
• Violate another person’s intellectual property or privacy rights
• Promote illegal activity
• Attempt to compromise the security or operation of SPILS

Users may report content and block other users using available Community tools.

We may review reported content and may remove content, restrict access, suspend accounts, or terminate accounts when we reasonably believe these Terms have been violated or action is necessary to protect SPILS or its users.

We are not obligated to publish or retain any Community content indefinitely.

7. ARTIFICIAL INTELLIGENCE FEATURES

Certain SPILS features may use artificial intelligence or third-party AI services to assist with tasks such as analyzing fragrance-related information or images.

AI-generated or AI-assisted results may be incomplete, inaccurate, or incorrect.

You should independently verify important information and should not rely on AI-generated information as professional, medical, regulatory, legal, or safety advice.

8. ACCEPTABLE USE

You may not attempt to:

• Access another user’s private account or content without authorization
• Interfere with or disrupt SPILS or its infrastructure
• Circumvent security features or access restrictions
• Scrape, extract, or systematically collect SPILS data without permission
• Reverse engineer SPILS except where applicable law expressly permits it
• Upload malicious code or otherwise compromise the service
• Use SPILS for unlawful purposes

9. INTRODUCTORY ACCESS AND FUTURE PREMIUM FEATURES

SPILS may provide full or expanded access during an introductory launch period.

We may later introduce Free and Premium plans, usage limits, subscriptions, or other paid features.

Content you create during the introductory period will not be deleted solely because SPILS later introduces usage limits or paid plans. Future limits may restrict the creation of additional content after a Free plan limit is reached.

Any future paid subscription terms, pricing, renewal information, and cancellation options will be disclosed before purchase and will be subject to applicable App Store requirements.

10. INTELLECTUAL PROPERTY

SPILS, including its name, branding, interface, design, software, graphics, original editorial content, and other materials created by or for DONERIK LLC, is owned by or licensed to DONERIK LLC and is protected by applicable intellectual property laws.

These Terms do not transfer ownership of SPILS intellectual property to you.

This section does not give DONERIK LLC ownership of your User Content or your original fragrance formulas.

11. THIRD-PARTY SERVICES AND LINKS

SPILS may use or connect with third-party services necessary to operate certain features.

SPILS may also contain links to third-party websites, articles, resources, or services. We are not responsible for the content, availability, privacy practices, or operation of third-party services that we do not control.

12. CHANGES TO SPILS

SPILS is an evolving platform.

We may modify, add, discontinue, or temporarily suspend features as we develop the service, respond to user feedback, address technical issues, or comply with legal or platform requirements.

We will make reasonable efforts to avoid unnecessary disruption to users and their content.

13. TERMINATION

You may stop using SPILS and delete your account at any time.

We may suspend or terminate access to SPILS if you materially violate these Terms, misuse the service, create risk or harm for other users, or engage in unlawful activity.

Where appropriate, we may remove specific content rather than terminate an account.

14. DISCLAIMERS

SPILS is provided on an “as is” and “as available” basis to the extent permitted by law.

We do not guarantee that SPILS will always be uninterrupted, error-free, or free from bugs, or that all information available through SPILS will always be complete or accurate.

Fragrance formulation and the handling of perfumery materials can involve safety considerations. SPILS does not provide medical, toxicological, regulatory, or professional safety advice.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, DONERIK LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, SPILS.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

16. CHANGES TO THESE TERMS

We may update these Terms as SPILS evolves or as legal, technical, or operational requirements change.

When we make material changes, we may provide notice through SPILS, our website, or another appropriate method.

The effective date above will indicate when these Terms were most recently updated.

17. GOVERNING LAW

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law principles, except where applicable consumer protection laws require otherwise.
